1. Agreement to These Terms

These Terms of Service ("Terms") are an agreement between you and Novauto ("Novauto," "we," "us," or "our"). They govern your use of https://novautousa.com, our text, phone, email and direct message channels, and the concierge, brokerage, quote comparison, referral and credit application services we provide (together, the "Services"). By using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. What We Do

Novauto is an auto concierge and brokerage service. We help you find, negotiate, lease, finance and take delivery of a vehicle through dealers and lenders in our network. We are not a dealer, a lender or a credit bureau. The dealer sells or leases you the vehicle, and the lender or captive finance company extends the credit. Your lease or finance contract is with them, on their terms, and their terms control if they differ from anything we told you.

3. Quotes, Deals and Pricing

• Payments, prices, incentives and availability we show or quote are estimates based on information available at the time. They can change with dealer inventory, manufacturer programs, your credit approval, taxes, fees, the vehicle's final configuration and the date you sign.
• A quote is not an offer to sell or lease and does not reserve a vehicle. Only a signed contract with the dealer or lender is binding.
• Advertised deals may require a specific credit tier, region, trade-in, down payment or program eligibility. Not everyone will qualify.
• If you use our quote comparison service, you confirm that any quote, worksheet or buyer's order you upload is genuine and unaltered.

4. Eligibility

You must be at least 18 years old and able to enter a binding contract to use the Services. You must give us accurate, current and complete information and keep it updated. We may decline or stop serving anyone at our discretion.

5. Credit Applications

When you submit a credit application through the Services, you authorize us to transmit it, including your Social Security Number and the other information you provide, to dealers, lenders, banks and captive finance companies for the purpose of evaluating you for a lease or loan, and you authorize those institutions to obtain consumer reports about you. You confirm that everything in your application is true and complete. Applying does not guarantee approval, and approval terms are set by the lender. We handle your application in accordance with the Fair Credit Reporting Act and applicable financial privacy law, as described in our Privacy Policy.

6. Fees and Payment

Some Services carry a concierge or service fee. We will tell you the amount before you agree to pay it. Fees are payable when we say they are due and are processed by our payment provider. Unless we tell you otherwise in writing, a fee for work we have performed is not refundable. Dealer, lender, registration, tax and delivery charges are separate from our fee and are set by those parties.

7. Text Messages and Calls

When you give us your phone number, you agree that we may text you (by SMS, MMS or RCS) and call you about your inquiry and transaction, and, unless you opt out, about offers and updates. Consent to texts is not a condition of any purchase. Message frequency varies. Message and data rates may apply. Reply STOP to any text to stop receiving texts; you will get one confirmation and no further texts. Reply HELP for help, or contact us at info@novautousa.com or (818) 873-3697. Calls with Novauto may be recorded for quality, training and record keeping. Carriers are not liable for delayed or undelivered messages.

8. Referral Program

Referral rewards are paid only for a referred person who completes a lease or purchase through Novauto, was not already in our system, and meets any conditions we publish at the time. We may change or end the program at any time. Rewards are not transferable and may be withheld where we believe there is fraud or abuse.

9. Acceptable Use

You agree not to use the Services to submit false information, impersonate anyone, apply for credit in someone else's name without authority, interfere with the site or its security, scrape or copy our content or deal data, send spam, or do anything unlawful. We may suspend or end your access for a breach.

10. Our Content

The Novauto name, logo, website, deal listings, tools, text, images and other content are owned by Novauto or its licensors and are protected by law. You may use them only to shop with us. You may not copy, republish, sell or use them to build a competing service.

11. Third Parties

Dealers, lenders, transport companies, payment processors and messaging platforms are independent businesses. We are not responsible for their acts, omissions, products, pricing or terms, and any dispute with them is between you and them, although we will try to help.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including that the Services will be uninterrupted or error free, that a vehicle will be available at a quoted price, or that you will be approved for credit. Vehicle warranties, if any, come from the manufacturer or dealer.

13. Limitation of Liability

To the fullest extent permitted by law, Novauto and Novauto, and their owners, employees and agents, are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, savings or data, arising from the Services. Our total liability for any claim relating to the Services is limited to the fees you paid us for the transaction that gave rise to the claim. Some jurisdictions do not allow these limits, so they may not apply to you.

14. Indemnity

You agree to defend and hold harmless Novauto and Novauto from claims, losses and expenses, including reasonable attorneys' fees, arising from your breach of these Terms, information you provided that was false or misleading, or your misuse of the Services.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. Any dispute relating to the Services will be brought in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction. Nothing in this section prevents either of us from bringing a claim in small claims court where it qualifies.

16. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with a new Last Updated date, and it applies to your use of the Services after that date. Material changes will be communicated where required by law.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with the Privacy Policy and any written agreement for a specific transaction, are the entire agreement between you and us about the Services.
